Southampton: Paris Smith advises £22m acquisition
South coast legal firm Paris Smith & Randall LLP has advised on the £22m acquisition of a UK company specialising in terrorist threat advice to clients around the world.
Hazard Management Solutions (HMS) was bought by Vanguard Response Systems, part of the international counter-terrorist equipment systems provider Allen-Vanguard Corporation.
Paris Smith & Randall, based in Southampton, provided legal advice over two months to the three shareholders of HMS, which is based near Swindon and employs 60 people.
The law team consisted of Douglas Cooper, LLP partner
and head of the Company Commercial Department, and Jonathon Roy, Associate, with assistance from Daniel Wilmot (property) and Katherine Gibson (employment).
The buyer's solicitor was Morgan Cole of Reading.
HMS, which Paris Smith & Randall has advised since inception five years ago, identifies vulnerabilities and recommends deterrent actions to ensure business continuity.
